1. Introduction

1.1. These Terms and Conditions (“Terms”) govern your use of the Duration AI platform, products, and related services (collectively, the “Service”) operated by Duration AI Ltd (“Duration”, “we”, “us”, or “our”).

1.2. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1.3. Duration reserves the right to modify these Terms at any time. Updated Terms will be posted on our website, and continued use of the Service constitutes acceptance of any changes.

2. Eligibility and Accounts

2.1. To use the Service, you must register for an account using a valid email address and password.

2.2. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

2.3. You agree to provide accurate and up-to-date information during registration and to keep it current.

2.4. Duration does not impose any age restriction but reserves the right to restrict access to minors if required by applicable law.

3. Description of Service

3.1. Duration provides tools that allow users to upload training resources (including but not limited to PDFs, videos, and links) which are processed into adaptive learning programs using artificial intelligence.

3.2. The Service is provided on a free and paid subscription basis. Certain features are available only to paid users.

3.3. Duration reserves the right to modify, suspend, or discontinue any part of the Service at any time without notice.

4. User Content and License

4.1. You may upload, submit, or otherwise make available content (“User Content”) through the Service.

4.2. You retain ownership of your User Content.

4.3. By submitting User Content, you grant Duration a non-exclusive, worldwide, royalty-free, transferable license to host, process, display, and use such content solely for the purposes of operating, improving, and providing the Service.

4.5. Duration reserves the right to remove or disable access to any User Content that violates these Terms or applicable law.

5. Intellectual Property

5.1. All intellectual property rights in the Service, including software, algorithms, design, branding, and any derivative works created by Duration, remain the exclusive property of Duration AI Ltd.

5.2. Except as expressly provided in these Terms, no rights or licenses are granted to you, whether by implication, estoppel, or otherwise.

6. Payment and Subscription Terms

6.1. Duration offers both free and paid subscription plans, available on a monthly or annual basis.

6.2. Payments are processed via Stripe or other authorised payment processors.

6.3. All fees are exclusive of taxes, which will be charged where applicable.

6.4. Subscriptions automatically renew at the end of each billing period unless cancelled before renewal.

6.5. Cancellations take effect at the end of the current billing cycle.

6.6. Refund Policy: Duration does not provide refunds except as required by applicable law.

6.7. Duration reserves the right to change pricing and plan features upon reasonable notice.

7. Acceptable Use

7.2. Duration may suspend or terminate your account for any breach of this Section or misuse of the Service.

8. Disclaimers

8.1. The Service is provided “as is” and “as available” without warranties of any kind, express or implied.

8.2. Duration makes no guarantees regarding the accuracy, quality, or outcomes of adaptive programs generated through the Service.

8.3. Duration disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

9.1. To the fullest extent permitted by law, Duration shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities, arising out of or related to your use of the Service.

9.2. Duration’s total liability for any claim shall not exceed the total amount paid by you to Duration in the twelve (12) months preceding the event giving rise to the claim.

9.3. Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under law.

10. Data Protection and Privacy

10.1. Duration processes personal data and User Content in accordance with applicable data protection laws, including the UK GDPR.

10.2. By using the Service, you consent to such processing as described in our Privacy Policy, available at [Insert Privacy Policy URL].

10.3. Duration may use anonymised or aggregated data derived from User Content to improve algorithms, performance, and functionality of the Service.

11. Termination

11.1. Duration may suspend or terminate your account or access to the Service at any time for breach of these Terms, non-payment, or suspected misuse.

11.2. Upon termination, your right to use the Service will immediately cease. Duration may retain User Content as necessary for legal or operational purposes.

12. Governing Law and Jurisdiction

12.1. These Terms and any dispute arising from or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

12.2. The courts of England and Wales shall have exclusive jurisdiction over all disputes arising under or in connection with these Terms.

13. Miscellaneous

13.1. These Terms constitute the entire agreement between you and Duration and supersede all prior agreements or communications.

13.2. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3. Duration’s failure to enforce any right or provision shall not be deemed a waiver of such right or provision.
